Terms of Service

These Terms govern your use of BoxShare (boxshare.io), a marketplace connecting ecommerce publishers ("Publishers") with advertisers ("Advertisers") for package-insert advertising. By creating an account you agree to these Terms.

1. The service

BoxShare provides a marketplace and tooling for: listing shipment inventory, proposing and accepting placements, card design, print production and fulfillment via third-party printers, discount-code provisioning, QR/scan attribution, analytics, and payment processing. We are a venue and processor — the advertising relationship is between Publisher and Advertiser.

2. Accounts

• You must be 18+ and able to form a binding contract; business accounts only.
• You are responsible for your credentials and for enabling two-factor authentication where appropriate.
• Sign-in is available via email/password or Google OAuth; you may disconnect Google at any time.
• Provide accurate business information; we may verify shipment volumes and store data.

3. Placements & content

• Publishers approve every insert before it prints and may enforce category exclusions.
• Advertisers are responsible for card content and offers being lawful, accurate and honored.
• Prohibited content: illegal products, deceptive claims, malware/phishing links, adult content, hate speech, counterfeit goods, and violations of card network or carrier rules.
• We may reject, pause or remove any campaign or listing at our discretion.

4. Fees, wallets & payouts

• Advertisers fund a wallet via Stripe; placement fees, print charges (cost plus platform margin) and revenue-share commissions are debited as incurred.
• Publisher earnings accrue to their wallet and are paid out via Stripe Connect after identity verification (KYC) by Stripe.
• Platform fees (including placement fee percentage, print margin, subscription plans and promotional products) are shown before purchase and may change with notice.
• Failed or reversed payments may suspend accounts; negative balances are collected via our dunning process including the card on file where authorized.
• All amounts are in USD unless stated; taxes are your responsibility.

5. Print & fulfillment

Printing and delivery are performed by third-party print networks (currently Cloudprinter). Estimated turnaround and tracking are provided but not guaranteed; lost or misprinted orders will be reprinted or refunded at our discretion. Publisher must provide an accurate fulfillment address.

6. Attribution & data

Sales attribution uses discount codes, QR scans and store integrations (Shopify/WooCommerce). Attribution is best-effort and directional; we do not warrant that all influenced sales are tracked. Each party retains ownership of its data and creatives; you grant us the licenses needed to operate the service.

7. Acceptable use

No scraping, reverse engineering, fraud (fake scans/orders), circumventing fees, interfering with the platform, or misrepresenting identity or volume. Violations may result in suspension and forfeiture of disputed balances pending investigation.

8. Disclaimers & liability

The service is provided "as is". To the maximum extent permitted by law, BoxShare is not liable for indirect or consequential damages; our aggregate liability is capped at the fees you paid us in the 3 months preceding the claim. Nothing excludes liability that cannot be excluded by law.

9. Termination

You may close your account anytime; we may suspend or terminate for breach. Accrued legitimate balances are paid out after verification.

10. General

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the courts located in Palm Beach County, Florida. If any provision is unenforceable, the rest remain in effect. Contact: info@boxshare.io.
